Frequently asked questions about forming an Ltd.

Do I have to pay up the €5,000 share capital?

No, depositing the share capital into a bank account is no longer mandatory. For registration in the Business Register, a written declaration by the deposit administrator confirming that the share capital was paid in cash into the company's till is sufficient. We prepare this declaration for you.

What taxes does an Ltd. pay in 2025?

For small companies with a turnover up to €60,000 (from 2025 the threshold rises to €100,000) a reduced income tax rate of 15% applies. If you exceed this turnover, the rate is 21%. VAT (20%) is only paid if you become a VAT payer (voluntarily or after exceeding €50,000 in turnover over 12 months).

Can I run an Ltd. while employed?

Yes, you can have an Ltd. alongside employment. In that case your health insurance contributions are paid by your employer (as an employee), and as a managing director/partner of the Ltd. (if you don't pay yourself remuneration) you pay no contributions.

Who cannot form an Ltd.?

A company cannot be formed by a person who has tax arrears or arrears with the Social Insurance Agency. Nor can a person listed in the register of distraints. The court checks these facts before registration. Debts with a health insurer are not an obstacle (unless they are being enforced by distraint).
