Why is it important to keep your data up to date?

Due to the legal obligation to update the data that must be entered in the Commercial Register, every company is required to keep this data current. Otherwise, the registry court may impose a fine of up to 3 310 €.

How long does it take to register a change in the Commercial Register?

The statutory deadline for the court to carry out the registration is 2 business days from the delivery of the proposal. In practice, however, it may take a little longer (about 5-7 days), depending on the workload of the particular court. We file proposals electronically, which speeds up the process.

Do I have to be present in person at the notary for the changes?

Yes, for most changes (e.g. change of executive, share transfer) the persons concerned by the change (or the shareholders) need to sign the documents before a notary or at the registry office (signature verification). If you have a qualified electronic signature (eID), some acts can be handled without a notary, but practice often requires paper-based verification for certainty.

What is a beneficial owner (KÚV)?

Every legal entity is obliged to have data on its beneficial owner (the natural person who controls the company) recorded in the Commercial Register. Failure to comply with this obligation carries a fine of up to 3 310 €. If this information is not recorded, we will be happy to add it for you.

When is the consent of the tax administrator required?

The consent of the tax administrator is required if the transferor or the acquirer has a debt at the tax or customs office.
